To obtain capital to fund this expansion, Matchbox is offering $10,500,000 of 7-year subordinated notes paying an interest rate of 10.125%. The notes are junior only to bank financing and certain landlord positions, and are senior to the company’s equity.
The details of the subordinate notes are as follows:
• Coupon: 10.125% (quarterly interest-only payments)
• Term: 7 years
• Investment minimum: $5,000
• Available only to accredited investors
• Callable after 3 years; 1% prepayment premium for each year before maturity date if called.
Separate from the note offering, the Company is also raising $20,000,000 of equity to help fund the expansion. As of August 31, 2015, the Company had raised $15,885,000 of equity and was in discussions with potential investors about the remaining amount.
